- “Property Data” means the addresses, postcodes, and related information about properties you upload to the Service for monitoring purposes.
- “Subscription” means your paid subscription plan providing access to the Services.
- “Licensing Zone” or “Selective Licensing Area” means geographic areas designated by local councils where landlords require licences to let properties.
3. Service Description
3.1 ProperLet Protect
ProperLet Protect is a boundary monitoring service that:
- Monitors your specified properties against selective licensing boundaries across UK local councils
- Alerts you when properties fall within or near licensing zones
- Provides information about council licensing requirements
- Tracks changes to licensing boundaries over time
3.2 Future Services
We may introduce additional services (such as ProperLet Comply for compliance workflow management). Your use of future services will be subject to these Terms unless otherwise specified.

ProperLet provides monitoring and informational services only. We do not provide legal advice, compliance consulting, or guarantee that your use of the Service will ensure regulatory compliance.
You remain solely responsible for:

- Making all decisions regarding property licensing and compliance
4. Account Registration and Responsibilities
4.1 Eligibility
To use ProperLet, you must:
- Be at least 18 years of age
- Be authorised to enter into binding contracts
- Represent a legitimate business in the UK property letting industry
- Provide accurate and complete registration information
4.2 Account Creation
When creating an Account, you agree to:
- Provide true, accurate, current, and complete information
- Maintain and promptly update your Account information
- Keep your password secure and confidential
- Not share your Account credentials with others
- Notify us immediately of any unauthorised access or security breach
4.3 Account Responsibility
You are responsible for:
- All activities that occur under your Account
- Ensuring your use of the Service complies with these Terms
- Any consequences of providing inaccurate or incomplete information
- Maintaining the security of your Account credentials
4.4 Business Accounts
If you are using ProperLet on behalf of an organisation:
- You represent and warrant that you have authority to bind that organisation to these Terms
- References to “you” include both you as an individual and the organisation

5. Subscription and Payment Terms
5.1 Subscription Plans
ProperLet offers various subscription plans with different features and pricing. Current plans and pricing are available on our website at properlet.co.uk/pricing.
5.2 Payment Processing
- All payments are processed securely through Stripe, our third-party payment processor
- We do not store your full payment card details
- By providing payment information, you authorise us to charge the applicable fees to your payment method
- You must provide valid payment information and keep it up to date
5.3 Billing Cycles
- Subscriptions are billed in advance on a monthly or annual basis (depending on your chosen plan)
- Your billing cycle begins on the date of your initial subscription purchase
- Recurring charges will be made automatically on each renewal date
- You will receive a receipt for each payment via email
5.4 Price Changes
- We reserve the right to change our pricing at any time
- Price changes will not affect your current billing cycle
- We will notify you at least 30 days in advance of any price changes affecting your renewal
- If you do not agree to a price change, you may cancel your subscription before the new price takes effect
5.5 Taxes
- All fees are exclusive of applicable taxes (VAT, sales tax, etc.)
- You are responsible for paying all applicable taxes
- If we are required to collect taxes, they will be added to your invoice
5.6 Refunds
- No Refunds: All subscription fees are non-refundable except as required by law or as explicitly stated in these Terms
- Pro-Rata Refunds: If we terminate your Account for reasons other than breach of these Terms, we will provide a pro-rata refund for any unused portion of your subscription
- Free Trial: If we offer a free trial and you cancel before the trial ends, you will not be charged
5.7 Failed Payments
- If a payment fails, we will attempt to charge your payment method again
- We may suspend or terminate your access to the Service if payment issues are not resolved
- You remain responsible for any outstanding amounts owed
6. Acceptable Use Policy
6.1 Permitted Use
You may use ProperLet only for:
- Monitoring properties you own, manage, or have legitimate authority over
- Lawful business purposes related to property letting and management
- Compliance with selective licensing requirements
6.2 Prohibited Activities
You must not:
- Violate any applicable laws, regulations, or third-party rights
- Use the Service for any fraudulent, abusive, or illegal purpose
- Upload inaccurate, false, or misleading Property Data
- Attempt to gain unauthorised access to the Platform or other users' accounts
- Use automated systems (bots, scrapers) to access the Service without permission
- Reverse engineer, decompile, or disassemble any part of the Platform
- Remove, obscure, or alter any proprietary notices on the Platform
- Interfere with or disrupt the Service or servers/networks connected to it
- Resell, lease, or provide the Service to third parties without authorisation
- Use the Service to compete with ProperLet or build a competing product
- Transmit viruses, malware, or other harmful code
- Harass, abuse, or harm other users or ProperLet staff
6.3 Consequences of Violation
Violation of this Acceptable Use Policy may result in:
- Immediate suspension or termination of your Account
- Legal action to enforce these Terms
- Reporting to appropriate law enforcement authorities
- Liability for damages caused by your violations
7. Intellectual Property Rights
7.1 ProperLet's Intellectual Property
The Service, Platform, and all content, features, and functionality (including but not limited to software, text, graphics, logos, icons, images, audio clips, data compilations, and the design, selection, and arrangement thereof) are owned by ProperLet Ltd and are protected by UK and international copyright, trademark, patent, trade secret, and other intellectual property laws.
7.2 Limited Licence to You
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to:
- Access and use the Service for your internal business purposes
- View and use the Platform's features as intended
This licence does not include any right to:

- Use aggregated, anonymised data for service improvement and analytics
- Backup your data for security and service continuity purposes
We will not:
- Sell your Property Data to third parties
- Use your Property Data for purposes unrelated to providing the Service
- Share your Property Data except as described in our Privacy Policy
7.4 Feedback
If you provide feedback, suggestions, or ideas about the Service (“Feedback”), you grant us a perpetual, worldwide, royalty-free licence to use, modify, and incorporate such Feedback into our Service without any obligation to you.

9. Data and Content Ownership

You own all Property Data and other content you submit to the Service. We do not claim ownership of your data.
9.2 Data Export
You may export your Property Data at any time through the Platform's export features (if available) or by requesting a data export from us at privacy@properlet.co.uk.
9.3 Data Upon Termination
Upon termination of your Account:
- You will lose access to your Property Data stored in the Service
- We will retain your data for the periods specified in our Privacy Policy
- You may request a copy of your data before termination
- After the retention period, we will delete or anonymise your data
9.4 Council and Boundary Data
Information about licensing boundaries and council requirements is derived from publicly available sources and third-party data providers. ProperLet does not claim ownership of this data but has a licence to use and display it within the Service.
10. Disclaimers and Limitations of Liability
10.1 Information, Not Advice
Important Disclaimer
ProperLet is an informational monitoring service. We provide tools to help you track selective licensing boundaries, but:
- We do not provide legal advice: Nothing in the Service constitutes legal, compliance, or professional advice
- You are responsible for compliance: You must independently verify all licensing requirements with the relevant local authorities
- Council data may be inaccurate: Licensing boundary data is obtained from third-party sources and may be incomplete, inaccurate, or outdated
- Changes occur: Councils may change licensing boundaries or requirements without notice, and there may be delays in our data updates
- No guarantee of compliance: Using ProperLet does not guarantee compliance with licensing regulations
10.2 Service “As Is”
The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, ProperLet disclaims all warranties, express or implied, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement

- No Liability for Indirect Damages: ProperLet will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising from or related to your use of or inability to use the Service
- Liability Cap: Our total liability to you for all claims arising from or related to these Terms or the Service will not exceed the amount you paid to ProperLet in the 12 months preceding the claim
- Specific Exclusions: ProperLet is not liable for:
- Fines, penalties, or legal consequences resulting from licensing non-compliance
- Losses arising from inaccurate or outdated boundary data
- Losses arising from your reliance on information provided by the Service
- Service interruptions, data loss, or security breaches
- Actions or omissions of third-party service providers
- Your failure to comply with applicable laws and regulations
10.4 Essential Terms
Nothing in these Terms excludes or limits our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any other liability that cannot be excluded or limited under UK law
10.5 Your Acknowledgement
By using ProperLet, you acknowledge and agree that:
- You are using the Service at your own risk
- You are solely responsible for ensuring compliance with all licensing requirements
- You will independently verify all information provided by the Service
- ProperLet is a monitoring tool, not a compliance guarantee
11. Indemnification
You agree to indemnify, defend, and hold harmless ProperLet Ltd, its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from or related to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Your violation of any third-party rights, including intellectual property rights
- Any Property Data you submit to the Service
- Any compliance failures or licensing violations related to your properties
- Any negligent or wrongful conduct by you or anyone using your Account
This indemnification obligation will survive termination of these Terms and your use of the Service.
12. Termination
12.1 Termination by You
You may terminate your Account and subscription at any time by:
- Cancelling your subscription through your Account settings, or
- Contacting us at hello@properlet.co.uk
Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until that time. No refunds will be provided for the remaining portion of your billing period.
12.2 Termination by ProperLet
We may suspend or terminate your Account immediately, without prior notice or liability, if:
- You breach any provision of these Terms
- You engage in prohibited activities as described in Section 6
- We are required to do so by law or regulatory authority
- We reasonably believe your Account has been compromised or is being used fraudulently
- Payment for your subscription fails and is not resolved within a reasonable time
- We decide to discontinue the Service (with at least 30 days' notice)
12.3 Effect of Termination
Upon termination of your Account:
- Your right to access and use the Service immediately ceases
- You will lose access to all data stored in your Account
- We may delete your Account and data in accordance with our data retention policies
- Sections of these Terms that by their nature should survive termination will continue to apply (including Sections 7, 10, 11, 12.3, 13, 14, 15, and 16)
12.4 Data Retrieval
If you wish to retrieve your Property Data before termination, you must:
- Export your data using Platform features (if available), or
- Request a data export by contacting privacy@properlet.co.uk
- Make such requests before cancelling your Account or within 30 days of termination
After 30 days, we are not obligated to provide access to your data.
13. Changes to Terms
13.1 Right to Modify
We reserve the right to modify these Terms at any time. Changes may be necessary due to:
- Legal or regulatory requirements
- Changes to our Service features or business model
- Security or privacy enhancements
- Clarifications or corrections
13.2 Notification of Changes
When we make changes to these Terms:
- We will update the “Last updated” date at the top of this document
- For material changes, we will notify you by email or through an in-app notification at least 30 days before the changes take effect
- Non-material changes (such as clarifications or formatting) may take effect immediately

If you do not agree to the modified Terms:

- Continued use of the Service after the effective date constitutes acceptance of the new Terms

15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and ProperLet regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
15.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
15.3 Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of ProperLet.
15.4 Assignment
